1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you and Vacqo ("Vacqo", "we", "us"), operator of the Vacqo platform available at vacqo.com and its subdomains (the "Platform"). By creating an account, accessing or otherwise using the Platform you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy. If you do not agree, you must stop using the Platform.
2. What Vacqo does
Vacqo is a pre-vacancy apartment marketplace that lets current tenants ("Tenants") list apartments they are about to vacate, and lets seekers ("Seekers") discover and reserve those apartments before they reach the open market. Vacqo is a technology platform. Vacqo is not a real-estate agent, broker or escrow service and does not own, manage, lease or sublease the apartments listed on it.
3. Eligibility and account
You must be at least 18 years old and legally able to enter into contracts under Nigerian law to use Vacqo. You agree to provide accurate, current and complete information (including your role as a Seeker or Tenant, your name, phone number, email and any KYC documents we may reasonably require) and to keep that information up to date. You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.
4. Listings and verification
Tenants may only list apartments they lawfully occupy and have the right to hand over on the promised date. All listings are reviewed by Vacqo for basic accuracy, quality and completeness before they are published. Vacqo may, at its discretion, reject, edit, unpublish or remove any listing that appears misleading, fraudulent, incomplete or in breach of these Terms, applicable law, or landlord/lease restrictions. Verification does not constitute a warranty of the apartment's condition, title or suitability.
5. Payments, fees and refunds
Vacqo facilitates two categories of payment:
- Commitment / interest fees paid by Seekers to declare interest in a listing. These are processed via Paystack or by bank transfer with an uploaded proof of payment that Vacqo verifies.
- Move-in payments (rent, agency fee, legal fee, service charge and caution/security deposit) paid on or before takeover. The agency fee is set and collected by Vacqo. Legal, service and caution fees, and rent itself, are set by the landlord or lawyer and paid to their accounts. Vacqo does not act as escrow for these amounts.
Commitment fees are refundable where the Tenant cancels the listing or the apartment is not delivered on the promised date, and are processed within 10 business days. Other payments are subject to the landlord's or lawyer's own refund policy.
6. Conduct of Seekers and Tenants
You agree to communicate honestly, keep appointments, and treat other users with respect. Tenants must not delist or double-let an apartment after a Seeker's interest has been confirmed and paid. Seekers must not attempt to bypass Vacqo to negotiate directly with a Tenant or landlord in order to avoid platform fees.
7. Content and licence
You retain ownership of any photos, videos, text, or documents you upload ("Your Content"). You grant Vacqo a worldwide, non-exclusive, royalty-free licence to host, display, reproduce and distribute Your Content on the Platform and in reasonable marketing of the Platform. You represent that you own or have the necessary rights to Your Content and that it does not violate anyone's rights.
8. Prohibited conduct
You must not: (a) post false, defamatory, or fraudulent content; (b) scrape or harvest listings or user data; (c) upload malware or attempt to attack the Platform; (d) impersonate any person or misrepresent your affiliation; (e) use the Platform for money-laundering, terrorist financing, or any illegal purpose; (f) bypass verification, KYC, or payment controls. Violations may result in immediate suspension or termination of your account and referral to law-enforcement authorities.
9. Third-party services
The Platform integrates third-party services including Paystack (payments), Supabase (infrastructure) and email/SMS providers. Your use of those services is also subject to their own terms. Vacqo is not responsible for the acts or omissions of independent landlords, lawyers, agents, or other third parties.
10. Disclaimers
The Platform is provided "as is" and "as available". Vacqo does not warrant that listings are error-free, that the Platform will be uninterrupted, or that any specific outcome (e.g. securing an apartment) will occur. To the fullest extent permitted by law, Vacqo disclaims all implied warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent permitted by law, Vacqo's aggregate liability to you arising out of or in connection with the Platform, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the greater of (i) the fees you have paid to Vacqo in the 12 months preceding the claim, or (ii) ₦100,000. Vacqo shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity.
12. Indemnity
You agree to indemnify and hold Vacqo, its officers, employees and agents harmless from any claim, demand, loss or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Platform, or your violation of any law or third-party right.
13. Suspension and termination
You may close your account at any time from Settings. We may suspend or terminate your account, remove any content, or withhold pending payouts at our reasonable discretion if we believe you have breached these Terms or applicable law, or to protect the Platform and its users.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will publish the new version on this page, increment the version number, and require existing users to accept the updated Terms before continuing to use the Platform. Continued use after acceptance constitutes agreement to the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be resolved first through good-faith negotiation, and failing that, by the courts of Lagos State, Nigeria, which shall have exclusive jurisdiction.
